These terms of service are a legally binding contract (referred to herein as “Agreement”) between you and Focus Education Academy Pte Ltd (referred to herein as “FEA”), a FEA with its registered office at 50 East Coast Road, #02-140, Singapore 428769. The fea.com.sg website, learning management platform and any other linked pages and features (collectively referred to as “Website”) and the related applications and services (the “Services”) are owned or operated by FEA.

i.Acceptance of Terms of Service

In order to use the Services, you must first accept the Agreement. You may not use the Services if you do not accept the Agreement. You can accept the Agreement by:

1. Clicking to accept or agree to the Terms of Service, where this option is made available to you by FEA in the user interface for any Service; or
2. By actually using the Services. In this case, you understand and agree that FEA will treat your use of the Services as acceptance of the Agreement from that point onwards.

You may not use the Services and may not accept the Agreement if:

1. You are not of legal age to form a binding contract with FEA, or
2. You are a person barred from receiving the Services under the laws of Singapore or other countries including the country in which you are resident or from which you use the Services.

You agree that use of the Services does not constitute any basis for ownership of the Services and that FEA owns all legal right, title, and interest in and to the Services. You agree to use the Services only for purposes that are permitted by these terms and any applicable law or regulation.

These terms constitute the whole legal agreement between FEA and you and completely replace any prior agreements between FEA and you in relation to the Services. You agree that FEA may provide you with notices, including those regarding changes to these terms, by email, regular mail, or postings on the Services. You understand and agree that if you use the Services after the date on which the terms have changed, FEA will treat your use as acceptance of the updated terms. If FEA does not exercise or enforce any legal right or remedy in these terms, this will not be a waiver of any rights, and those rights or remedies will still be available to FEA. If any court rules that any provision of these terms is invalid, then that provision will be removed from these terms without affecting the rest of the terms and the remaining provisions of these terms will continue to be valid and enforceable.

This Agreement shall remain in full force and effect while you use the Services.

ii.Personal Information & Privacy Policy

In order to access certain Services, you may be required to provide information about yourself (such as name, email address, photograph) as part of the registration process for the Service, or as part of your continued use of the Services. You agree that any information you give to FEA will always be accurate, correct and up to date.

This policy explains how FEA treats your personal information, and protects your privacy, when you use the Services. You agree to the use of your data in accordance with FEA’s privacy policies.

iii.Content

All materials displayed or uploaded on the Website (including, but not limited to text, graphics, articles, photographs, images, illustrations (also known as the “Content”) are protected by copyright and other intellectual property laws. You shall abide by all copyright notices, trademark rules, information, and restrictions contained in any Content accessed through the Services, and shall not use, copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell or otherwise exploit for any purposes whatsoever any Content or third party submissions or other proprietary rights not owned by you, in any way that violates any third party rights.

You warrant, represent and agree that you will not contribute any Content or otherwise use the Services in a manner that (I) infringes or violates the intellectual property rights or proprietary rights, rights of publicity or privacy, or other rights of any third party; (II) violates any law, statute, ordinance or regulation; (III) is harmful, fraudulent, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, or otherwise objectionable; or (IV) jeopardizes the security of your account in any way, such as allowing someone else access to your account or password.

FEA reserves the right to remove any Content from the Services at any time, for any reason including, but not limited to, upon receipt of claims or allegations from third parties or authorities relating to such Content or if FEA is concerned that you may have breached the immediately preceding clause. You, not FEA, remain solely responsible for all Content that you upload, post, email, transmit, or otherwise disseminate using, or in connection with, the Services, and you warrant that you possess all rights necessary to provide such content to FEA and to grant FEA the rights to use such information in connection with the delivery of Services to you and as otherwise provided herein.

iv.Users

You understand that FEA cannot guarantee the identity of any other users with whom you may interact in the course of using the Services. Additionally, FEA cannot guarantee the authenticity of any data which users may provide about themselves. You acknowledge that all Content accessed by you using the Services is at your own risk and you will be solely responsible for any damage or loss to any party resulting therefrom.

v.Third Party Sites

The Services may include hyperlinks to other web sites or content or resources. FEA may have no control over the web sites or resources that are provided by other companies or persons. You acknowledge and agree that FEA is not responsible for the availability of any such external sites or resources and does not endorse any advertising, products, or other materials on or available from such web sites or resources.

vi.Responsibility of Actions

You are responsible for all of your activity in connection with the Services. You agree that you will not engage in any activity that interferes with or disrupts the Services (or the servers and networks which are connected to the Services). Any fraudulent, abusive, or otherwise illegal activity may be grounds for termination of your right to access or use the Services. You may not post or transmit, or cause to be posted or transmitted, any communication or solicitation designed or intended to obtain password, account, or private information from any FEA user. Use of the Services to violate the security of any computer network, crack passwords or security encryption codes, transfer or store illegal material (including material that may be considered threatening or obscene), or engage in any kind of illegal activity is expressly prohibited. Further, the use of manual or automated software, devices, or other processes to “crawl” or “spider” any page of the Website is strictly prohibited. You will not decompile, reverse engineer, or otherwise attempt to obtain the source code of the Services.

vii.Account Transfer & Termination

You may not transfer your account to anyone without express prior written consent of FEA. You may terminate your use of the Services or your account at any time by contacting us at support@fea.com.sg.

viii.Security

Uses of certain Services requires a password, you are responsible for maintaining the confidentiality of all such passwords. If you become aware of any unauthorized use of your password or of your account, you agree to notify FEA immediately at support@fea.com.sg.

ix.Risk & Warranties

Your use of the Services is at your sole risk and the Services are provided “as is” and as available. FEA disclaims all warranties of any kind, whether express or implied, including, but not limited to the implied warranties and conditions of merchantability, fitness for a particular purpose and non-infringement. FEA does not represent or warrant that the Services will meet your requirements or that the Services will be uninterrupted, timely, or free from error.

You understand and agree that FEA, its owners, subsidiaries, directors, employees, attorneys, affiliates, and licensors will not be liable to you for:

i.Any direct, indirect, incidental, special consequential or exemplary damages which may be incurred by you, however caused and under any theory of liability. This shall include but not be limited to any loss of profit (whether incurred directly or indirectly), any loss of goodwill or reputation, any loss of data, cost to procure of substitute goods or services, or other intangible loss;

ii.Any loss or damage that may be incurred by you as a result of:

1. Any changes that FEA may make to the Services,
2. Any permanent or temporary cessation in the provision of the Services or any features of the Services;
3. The deletion of, corruption of, or failure to store, any content and other communications data maintained or transmitted by or through your use of the Services; or
4. Your failure to keep your password or account details secure and confidential.

x.Updates

FEA updates the Services frequently. You agree that FEA can make changes, additions, substitutions, and reductions to the Services without notice to you. These updates are designed to improve, enhance and further develop the Services and may take the form of bug fixes, enhanced functions, new software modules and completely new versions. You agree to receive such updates (and permit FEA to deliver these to you) as part of your use of the Services.

xi.Termination of Services

FEA reserves the right to stop providing the Services to you at any time for any reason without prior notice. FEA may suspend or terminate your access to the Services, Website or your account at any time, for any reason (without cause or for your violation of any term of this Agreement), and without warning or notice, which may result in the forfeiture and destruction of all information associated with your membership. Upon termination of your account, your right to use the Services, access the Website, and any Content will immediately cease. All provisions of this Agreement which, by their nature, should survive termination, shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, and limitations of liability.

xii.Governing Law

These terms will be governed by the laws of Singapore without regard to its conflict of law’s provisions. FEA and you agree to submit to the exclusive jurisdiction of the courts located within the county of Singapore to resolve any legal matter arising from these terms. Notwithstanding this, FEA will still be allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.
